Terms of Service

1. Services and Scope

Devinabney provides corporate consultancy services in South Africa, including executive leadership development, workplace communication strategies, and conflict resolution management. All services are delivered through tailored corporate workshops, structural evaluations, and strategic advisory sessions as agreed in a signed service agreement.

2. Client Responsibilities

Clients agree to provide accurate and timely information necessary for the delivery of services. Clients must ensure that participants attend scheduled sessions and that the working environment is conducive to the agreed activities. Failure to provide required materials or access may result in delays or cancellation of sessions.

3. Intellectual Property

All materials, frameworks, methodologies, and content provided by Devinabney during the engagement remain the intellectual property of Devinabney. Clients receive a non-exclusive, non-transferable license to use these materials internally for the duration of the engagement. No reproduction, distribution, or commercial use outside the agreed scope is permitted without written consent.

4. Limitation of Liability

Devinabney's liability for any claim arising from the services is limited to the total fees paid by the client for the specific engagement giving rise to the claim. Devinabney is not liable for indirect, consequential, or incidental damages, including loss of profits, business interruption, or loss of data, even if advised of the possibility of such damages. This limitation applies to the fullest extent permitted by South African law.

5. Termination

Either party may terminate the service agreement with 14 days' written notice. In the event of a material breach by either party, the non-breaching party may terminate immediately upon written notice. Upon termination, the client shall pay for all services rendered up to the effective date of termination. Any proprietary materials provided by Devinabney must be returned or destroyed.

6. Changes to Terms

Devinabney reserves the right to modify these terms at any time. Changes will be communicated via email to the primary contact on file and will take effect 30 days after notification. Continued use of services after the effective date constitutes acceptance of the updated terms.

7. Governing Law and Dispute Resolution

These terms are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or the services shall first be addressed through good-faith negotiations. If unresolved, disputes will be referred to mediation in Johannesburg before any court proceedings are initiated.
